Terms of Service
These Terms of Service (“Terms” or “Agreement”) govern access to and use of the software platforms, cloud applications, APIs, and online services provided by CUBE Collective LLC under the CUBE Core suite.
1. Corporate Entity & Scope of Agreement
This Agreement is entered into by and between CUBE Collective LLC (“CUBE”, “Company”, “we”, “us”, or “our”), a manager-managed limited liability company formed in the State of Wyoming, United States on May 28, 2025 under Wyoming Business ID 2025-001687239, with its registered agent Registered Agents Inc., 30 N Gould St Ste R, Sheridan, WY 82801, and its principal and mailing address at 4245 Schaefer Road, Dearborn, Michigan 48126, United States, and the individual, business entity, healthcare practice, clinic, or merchant accessing or using our services (“Customer”, “Merchant”, “Client”, or “you”).
CUBE develops, licenses, and operates enterprise subscription software platforms, modular clinical systems, and connected commerce tools under the CUBE Core product umbrella.
2. Product Portfolio & Maturity Status
To ensure strict operational clarity, liability boundaries, and regulatory compliance, the products within the CUBE Core suite maintain distinct maturity and contract scopes:
simpleTap
In-person contactless, QR, and payment-link acceptance software for small merchants and independent professionals, paired with merchant operations software, receipt generation, and terminal integrations.
CUBE OneCare
Practice operations and clinical software for private clinics, outpatient medical centers, and independent physicians providing in-person ambulatory care. Clinics license OneCare for operational workflows and may collect patient payments via connected accounts.
CUBE Atlas
CUBE's unified API for financial orchestration and its ledger, on the same Stripe platform. Atlas is not a bank, issuer, acquirer, e-money institution or money transmitter.
Kadolia & HARDWON
Specialized commerce and fitness operations software currently in market-facing refactor. Neither Kadolia nor HARDWON is live in production or currently onboarding connected accounts.
CUBE Assembly + Home represents pre-build technical architecture. Shared technical rails may compound across the suite; however, economic models, contractual commitments, and operational liabilities remain strictly separate per product.
3. Payment Processing & Stripe Connect Disclosures
CUBE Collective LLC operates a single Stripe Connect platform for the entire corporate group. Payment processing across the suite is governed by the following strict architectural rules:
3.1 CUBE Direct Software Subscriptions (Platform SaaS)
When you subscribe to CUBE software (e.g., CUBE OneCare practitioner seat licenses or simpleTap software subscriptions), charges are billed directly by CUBE Collective LLC on our platform account. CUBE is the merchant of record for its proprietary software licenses. The statement descriptor on your billing statement will appear as CUBECORE* [PRODUCT] (e.g., CUBECORE* ONECARE or CUBECORE* SIMPLETAP).
3.2 Connected Account Merchant Charges (Client Sales & Patient Pay)
Connected businesses (including medical practices and retail merchants) collect payments from their own patients or customers on their own Stripe connected accounts, through Stripe Connect.
- Merchant of Record: The connected clinic or merchant is the settlement merchant and merchant of record for sales to its customers. The cardholder's bank statement displays the DBA and statement descriptor of the connected business.
- Ownership of Funds: Funds collected on behalf of connected businesses belong to those businesses. CUBE retains only disclosed software subscription fees and agreed net platform application fees.
- Application Fees: Platform application fees, if any, are agreed upon and disclosed to connected businesses in their respective merchant agreements.
4. Healthcare Data Segregation & Patient Privacy
For practices utilizing CUBE OneCare, CUBE maintains strict segregation between clinical healthcare systems and financial payment rails:
- No PHI on Financial Rails: Protected Health Information (PHI), patient clinical notes, diagnostic codes (ICD), medical record numbers (MRNs), and prescription details are strictly excluded from payment metadata, PaymentIntents, descriptions, and receipt line items.
- Outpatient Scope: CUBE OneCare in this pilot serves private outpatient ambulatory clinics. Connected accounts do not provide online pharmacy or regulated medical device distribution through the platform.
5. Customer & Merchant Obligations
Merchants and users agree to:
- Provide true, accurate, and complete registration and beneficial ownership information during Stripe Connect onboarding.
- Comply with all applicable federal, state, and local laws, industry regulations, card brand rules, and medical licensing requirements.
- Maintain the security of account credentials and notify CUBE immediately of any unauthorized access.
- Refrain from processing fraudulent, deceptive, or prohibited transactions as defined by card networks and applicable law.
6. Intellectual Property & Proprietary Rights
All rights, title, and interest in and to the CUBE Core platform, including software code, UI designs, APIs, documentation, trade secrets, trademarks, and brand assets (including CUBE, OneCare, simpleTap, Atlas, Kadolia, and HARDWON), are and remain the exclusive property of CUBE Collective LLC and its licensors.
7. Disclaimers & Limitation of Liability
THE CUBE CORE SOFTWARE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. CUBE COLLECTIVE LLC DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL CUBE COLLECTIVE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES.
8. Governing Law & Dispute Resolution
This Agreement and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without giving effect to any conflict of law principles. Any legal suit, action, or proceeding shall be instituted exclusively in the state or federal courts located in Wyoming.
